Fidelity Labs, Inc. (“Fidelity Labs”) is a Fidelity Investments company that provides innovative web-based products and services to the public through its FidelityLabs.com website. The FidelityLabs.com website (“Fidelity Labs Site”) is independent of Fidelity.com.

By accessing or using the Fidelity Labs Site, including all products, services, content, tools, data, databases, information and other materials (collectively “Content”) available on the Fidelity Labs Site, you expressly agree to be bound by and to comply with these Terms of Use (“Terms”) and all applicable federal, state and local laws, regulations and ordinances governing the Fidelity Labs Site. These Terms are a binding agreement between you and Fidelity Labs. If you do not agree with these Terms, you should not access or use the Fidelity Labs Site. 1. USE OF FIDELITY LABS WEB PAGES AND SITE

If you link from another website to the Fidelity Labs Site, your website, and the link itself, must not suggest that Fidelity Labs or any of its affiliates endorses, sponsors or is affiliated with any non-Fidelity website, entity, product or service, and must not make use of any trademarks or service marks of Fidelity Labs or its affiliates other than those contained within the URL of the Fidelity Labs Site.

Certain Content on Fidelity Labs Site, including search results obtained through search requests made by its users, results from mathematical formulae, automated processes and software, and such Content is not pre-reviewed by Fidelity Labs. The Fidelity Labs Site is generally intended to be viewed by a conventional web browser with a screen resolution of 640 by 480 pixels or greater. Fidelity Labs may modify the Fidelity Labs Site or any portion thereof at any time for any reason without prior notice to you.

11. TERMINATION

Fidelity Labs may suspend, terminate or modify your access to the Fidelity Labs Site for any reason, without prior notice.

12. GOVERNING LAW

These Terms and their enforcement are governed by the laws of the Commonwealth of Massachusetts, without regard to conflicts of law.

13. BINDING NATURE

These Terms shall apply to, be binding upon and shall inure to the benefit of the parties hereto and to Fidelity Labs' successors and assigns, whether by merger, consolidation, or otherwise.

14. SEVERABILITY

If a court of competent jurisdiction deems any provision of these Terms unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions of the Terms will remain in full force and effect.

15. MISCELLANEOUS

Fidelity Labs' failure to act with respect to a breach by you or others does not waive Fidelity Labs' right to act with respect to subsequent or similar breaches. The failure of Fidelity Labs to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. The section headings and subheadings contained in these Terms are included for convenience only, and shall not limit or otherwise affect these Terms.

The Fidelity Labs Site is owned and operated by Fidelity Labs, Inc., a Fidelity Investments company. Although Fidelity Labs is affiliated with other Fidelity Investment companies that may offer financial products and services, Fidelity Labs is not engaged in the business of banking or acting as a broker-dealer, investment advisor, deposit broker, financial planner, credit counselor, or other advisor to you.
